DLA Piper Represents Authentic Brands Group in Acquisition of HMX Group Assets
DLA Piper served as counsel to Authentic Brands Group, LLC (ABG), one of the leading brand development and licensing companies, in its acquisition of the HMX Group, which includes the iconic Hickey Freeman, Hart Schaffner Marx, and Palm Beach brands. The acquisition was granted final approval by the United States Bankruptcy Court for the Southern District of New York at a hearing on December 19, and follows an active marketing process of the company since before the start of Chapter 11 proceedings.
DLA Piper has assisted ABG in its mission of owning and managing leading consumer brands in order to enhance brand positioning and maximize growth potential. ABG intends to preserve these iconic American fashion labels while transforming them into a global sales licensing model. The deal will also preserve hundreds of jobs, including those in the company’s manufacturing facilities in Rochester, New York and Des Plaines, Illinois. The acquisition has the full support of the Official Committee of Unsecured Creditors and Workers United, which represents the company’s unionized employees, as well as political support from New York Senator Chuck Schumer and Congresswoman Louise Slaughter of New York’s 28th district.
The DLA Piper team representing ABG was led by Richard Chesley, co-chair of the firm's Restructuring practice, and included Chun Jang, Dan Simon, and Gina Durham in Chicago and Ann Lawrence in Los Angeles.
