Mill Road Completes $8M Equity Offering for Rubio's - cbl

GREENWICH, Conn. -- Mill Road Capital completed an $8 million equity offering for its portfolio company, Rubio's, Inc., a restaurant chain.

Although the related SEC filing does not specify that the issuer, MRRC Hold Co., relates to Rubio's, three key Rubio's executives are named in the filing and Rubio's is elsewhere listed among Mill Road's portfolio companies. Rubio's runs a chain of approximately 200 fast casual Mexican restaurants in California, Arizona, Colorado, Utah, and Nevada. In September of 2010, Mill Road raised $50 million in equity for Rubio's.

Named in the current filing were Mill Road's Founder and Senior Managing Director Thomas E. Lynch, Managing Directors Scott P. Scharfman and Charles M. B. Goldman, and Associate James Zivin. Directors, all from the Rubio's organization, include co-founder Ralph Rubio, former President and CEO Daniel Pittard, and current President and CEO Marc S. Simon.

Prior to founding Mill Road Capital in 2004, Lynch was the founder and Senior Managing Director of Lazard Capital Partners. Earlier, he was a Managing Director at The Blackstone Group, and a Consultant and Project Manager for the Monitor Company, a management consulting firm founded by Michael Porter. Mr. Lynch began his career as an advertising executive at the Interpublic Group of Companies. He is a member of the Board of Directors of Vision7 International (formerly known as Cossette Inc.), Panera Bread Co. (NASDAQ: PNRA), and Physician's Formula Holdings (NASDAQ: FACE), and numerous private and not-for-profit boards.

Mill Road Capital is a private investment firm focused on investing in and partnering with publicly traded micro-cap companies in the U.S. and Canada.
